Terms and Conditions

Article 1 - Definitions

  1. AMB Technical Services, located at Jousterweg 203, 8465 PE Oudehaske, registered under Chamber of Commerce number: 90268105, hereinafter referred to as "AMB".
  2. Client: the person with whom AMB has entered into an agreement.
  3. Parties: AMB and the client together.
  4. Consumer: a client who is also an individual acting in a private capacity.

Article 2 - Applicability

  1. These terms and conditions apply to all quotations, offers, work, orders, agreements, and delivery of services or products by or on behalf of AMB.
  2. Parties may only deviate from these terms if explicitly agreed upon in writing.
  3. Parties expressly exclude the applicability of any additional and/or deviating terms and conditions of the client or third parties.

Article 3 - Description of Assignment

AMB will perform the agreed technical services as described in the confirmation or quotation. The Client is responsible for providing all necessary information and access to the required equipment and systems to successfully carry out the services.

Article 4 - Performance of Services

AMB will make every effort to perform the services to the best of its ability and with the necessary expertise. The Client acknowledges that technical services may involve certain risks, such as potential system failures or data loss. AMB is not liable for any damage resulting from such risks, unless there is intent or gross negligence on the part of AMB.

Article 5 - Delivery

AMB strives to adhere to the agreed delivery times as accurately as possible. However, delivery times are indicative and cannot be considered as strict deadlines unless explicitly agreed otherwise. Delays in delivery do not entitle the Client to terminate the agreement, claim damages, or suspend payment obligations.

Article 6 - Rates, Payment, Offers, and Quotations

  1. The rates for technical services are specified in the quotation or confirmation. Unless agreed otherwise, all prices are exclusive of any taxes and levies. The payment term is specified in the quotation or confirmation. If the payment term is exceeded, the Client is in default by operation of law, and AMB has the right to charge interest and extrajudicial collection costs.
  2. Offers and quotations from AMB are non-binding unless explicitly stated otherwise.
  3. An offer or quotation is valid for a maximum of 2 months unless a different acceptance period is specified in the offer or quotation.
  4. Offers and quotations do not apply to reorders unless expressly agreed otherwise in writing by the parties.

Article 7 - Confidentiality and Intellectual Property

AMB will treat all confidential information obtained during the provision of services as confidential and keep it secret. All intellectual property rights related to the materials provided by AMB or results generated remain the property of AMB unless agreed otherwise in writing.

Article 8 - Liability

AMB is not liable for any damage caused by the Client or third parties unless there is intent or gross negligence on the part of AMB. AMB's liability is limited to the amount paid out under AMB's liability insurance in the relevant case.

Article 9 - Termination

The agreement can be terminated by either party with due regard to a reasonable notice period unless agreed otherwise. In the event of termination, obligations and liabilities that by their nature are intended to continue will remain in effect.

Article 10 - Applicable Law and Disputes

These terms and conditions and the agreements between AMB and the Client are governed by Dutch law. Disputes will be exclusively submitted to the competent court of AMB's place of business unless mandatory legal provisions require otherwise.

By using AMB's services, the Client agrees to these terms and conditions.
